Commercial Counsel - IEX

About the role

This role involves being the primary legal contact for commercial contracting across IEX, a company focused on capital markets innovation. Responsibilities include drafting, reviewing, and negotiating various agreements, such as customer, vendor, and non-disclosure agreements. The counsel will also develop and improve contract templates and processes to enhance efficiency and consistency within the legal function.

The position also provides legal support for employment and HR matters. This includes advising on hiring, terminations, performance management, and employee relations, as well as drafting employment agreements and policies. The counsel will partner with HR to ensure compliance with labor laws and assist with internal personnel matters.

Beyond contracts and employment, the Commercial Counsel will advise on legal issues related to AI and emerging technologies, supporting the development of internal AI governance frameworks. The role requires providing general legal guidance for day-to-day business operations and collaborating with various internal teams like HR, Compliance, Finance, and Technology on special projects.

The annual base salary for this position ranges from $175,000 to $190,000, with eligibility for bonus and equity.

Commercial Contracts

• Act as the primary legal point of contact for commercial contracting across the business
• Draft, review and negotiate a wide range of agreements, including customer agreements, vendor agreements and non-disclosure agreements
• Develop and improve contract templates, playbooks and processes to drive efficiency and consistency
• Partner closely with business stakeholders to structure agreements and provide practical, risk-based advice
• Manage contract lifecycle processes and support scaling of contracting function

Employment and HR Support

• Advise on a broad range of employment matters, including hiring, terminations, performance management, and employee relations
• Draft and update employment agreements, offer letters, separation agreements and related documentation
• Support development and maintenance of employment policies and employee handbooks
• Partner with HR on compliance with applicable labor and employment laws
• Assist with internal personnel matters as needed

AI & Technology Implementation

• Advise on legal and regulatory issues related to the implementation and use of AI and emerging technologies
• Support the ongoing development of internal AI governance frameworks, policies, and controls
• Stay current on evolving legal and regulatory developments impacting AI, fintech, and data usage

General Legal Support

• Act as a key resource and primary point of contact for IEX business teams in need of legal assistance
• Provide legal guidance on day-to-day business operations
• Collaborate with cross-functional teams, including HR, Compliance, Finance and Technology
• Support internal policy development and implementation
• Support special projects and strategic initiatives as needed

Your background:

• 4+ years of experience as a practicing attorney in large law firm and/or in-house legal department
• Strong experience in commercial contracts and employment law matters
• Proven ability to successfully manage multiple complex projects with competing deadlines
• Business-minded, pragmatic, and solutions-oriented
• Law degree (JD) from accredited law school
• NY Bar membership required

Our job titles may span more than one career level. The starting annual base pay is between $175,000 and $190,000 for this NY-based position. The actual base pay is dependent upon many factors, such as: training, transferable skills, work experience, business needs and market demands. The annual base pay range is subject to change and may be modified in the future. This role is eligible for bonus and equity.
