Lead Acquisitions: Drive the legal lifecycle of domestic and international acquisitions, from initial due diligence and term sheet negotiation to SPA drafting and post-closing integration.

Fundraising Support: Partner with stakeholders to manage Series rounds, debt financing, and other capital-raising activities.

Strategic Projects: Provide legal architecture for joint ventures, divestitures, and complex corporate reorganizations.

  • Commercial Contracts (FinTech & Crypto)

Draft, negotiate, and review high-stakes agreements including Payment services, SaaS licenses, and Liquidity Provider agreements.

Ensure all commercial contracts mitigate risk while supporting aggressive business growth.

  • Global Governance & Operations

Entity Management: Oversee corporate governance for a global web of entities, ensuring compliance with local statutory requirements.

Stakeholder Management: Act as a trusted advisor on matters of risk, fiduciary duty, and corporate strategy.

Generalist Advisory: Tackle day-to-day legal hurdles ranging from employment nuances and IP protection to data privacy concerns.

  • Qualification: Qualified Solicitor in England & Wales (or equivalent Common Law jurisdiction).
  • Seniority: Minimum of 8 years PQE sophisticated in-house experience.
  • Acquisition Experience: A proven track record of leading M&A deals with minimal external supervision.
  • Sector Knowledge: Substantial experience in Payments or Crypto is essential. You must be comfortable with the nuances of e-money regulations and digital asset frameworks.
  • Drafting Excellence: Ability to take a blank page approach to complex, non-standard contracts.
