While the primary focus is on fund and product-level legal matters, there will be opportunities to engage with venture counsel on private venture investments. The role also includes advising on crypto-relevant regulatory issues and the development of new asset management products. Success in this role requires meticulous attention to detail and the ability to manage multiple projects in a fast-paced environment.

The salary for this position ranges from $150,000 to $225,000 annually.

What You’ll Do

  • Draft, review and execute on fund formation documentation, including entity formation, governance documentation, subscription documentation, and bespoke side letter agreements with limited partners
  • Coordinate with external legal counsel, where applicable, as well as internal portfolio managers and sales teams on legal diligence, negotiation and execution of new investment opportunities
  • Advise internal stakeholders with respect to ongoing fund management matters, such as limited partner outreach, limited partner advisory committee (LPAC) management, updates to fund disclosure and offering documentation as needed and liquidations of funds following the conclusion of applicable investment periods
  • Assist Galaxy Asset Management’s Chief Compliance Officer and compliance team on legal matters relating to the formation and maintenance of Galaxy Asset Management funds and products
  • While the bulk of this role is expected to primarily focus on fund and product-level matters, there will be opportunities for the right candidate to work with and alongside Venture Counsel in the diligence, negotiation and execution of private venture investments made by the various investing teams within Galaxy Asset Management, as well as other matters relating to asset management products, such as regulatory review and advising with respect to crypto-relevant issues and new asset management products

What We’re Looking For

  • The ideal candidate will be highly organized, have meticulous attention to detail and a demonstrated ability to produce high quality work product in a fast-paced, high-volume environment where multiple projects may be active simultaneously
  • Minimum 3-7 years of relevant prior experience with a large law firm or in-house in a funds formation or asset management counsel capacity
  • Experience and knowledge with legal issues present for asset managers and Registered Investment Advisors, including the Investment Advisers Act of 1940, applicable SEC rules and regulations, fund structuring (onshore and offshore), conflict of interest management and allocation of investment opportunities across multiple funds and fund types including private funds, ETFs and ‘40 Act funds
  • Ability to navigate and manage transactions involving multiple parties, financial structures and unique terms and conditions
  • Interest in issues relating to digital assets is required; experience and/or prior knowledge in the space is a plus
  • Highly motivated, self-starter who takes initiative.
  • Positive attitude, and willingness to roll up sleeves (no job too big, no job too small).
  • Collaborative team member with a high level of professionalism and outstanding business judgment.
  • Excellent written and oral communication skills.
  • Active membership in the NY state bar.
