Legal Counsel - Prediction and Capital Markets

About the role

This role involves providing legal counsel for Crypto.com's US operations, specifically focusing on CFTC and SEC-registered businesses. The work includes advising on financial instruments like prediction markets, derivatives, and tokenized securities, ensuring all products and services comply with US and cross-border regulations. You will interpret rules from bodies like the CFTC, NFA, SEC, and FINRA, applying them to new product offerings and existing operations.

The position is part of a legal team that supports product development and manages external regulatory relationships. You will work closely with internal business units, assisting with contract terms, negotiations, and licensing. A key aspect is drafting and updating policies, procedures, and terms related to regulated product trading in the US, as well as reviewing marketing materials for compliance.

Success in this role means effectively mitigating legal and regulatory risks while identifying commercial opportunities for new products. You will represent Crypto.com before regulators and financial partners, collaborating with external counsel when necessary. The ability to provide proactive, solution-oriented advice to various stakeholders is crucial for enabling the compliant launch and development of services.

The salary for this position ranges from $250,000 to $350,000 annually.

• You will be part of the Crypto.com Legal Team handling legal and regulatory matters for Crypto.com’s CFTC and SEC registered businesses in the US.
• Expertise in the following areas, including the interaction of these rules and regulations in both the US and on a cross-border basis, will be key for this role: CFTC Rules and Regulations, NFA Rules and Regulations, SEC Rules and Regulations, FINRA Rules and Regulations.
• Focus on legal and regulatory matters involving a diverse range of financial instruments, including prediction markets, derivatives, tokenized securities and securities products and the extent of offering various products within these schema and the regulatory requirements of such financial instruments.
• Assist business units with contract terms and conditions, related negotiations, and legal support of all aspects of business operations including licensing and data provisioning.
• Assisting in drafting, reviewing and updating policies/procedures and terms and conditions and other rules related to the trading of various regulated products in the US.
• Represent Crypto.com on a variety of topics with the CFTC, NFA, SEC, and FINRA.
• Reviewing marketing and sales literature, presentations, and other educational materials for compliance with applicable CFTC, NFA, FINRA and SEC laws and regulations.
• Work with external counsel to ensure our arrangements comply with relevant law and regulation in jurisdictions where we operate.

• Qualified/licensed lawyer with at least 3 to 5 years of experience in financial product legal and regulatory work handling issues for CFTC- and SEC-regulated clients in a major law firm or as a licensed entity (FCM, US Exchange, broker-dealer, prediction markets).
• Excellent knowledge of US financial laws and regulatory structures and track record of maintaining licenses and building products and operations under these frameworks, as well as the cross-border interaction of these laws and regulatory structures.
• Familiarity with industry practices and professional standards.
• Excellent English verbal and written communication skills.
• Strong organizational/project management skills, ability to handle high volume and balance competing demands.
• Ability to concisely and effectively communicate with business teams and management.
• Ability to develop and maintain relationships with stakeholders.
• Willingness to accommodate calls and meetings with different time zones when required.
• Able to identify problems, issues and able to propose solutions.
